Affiliate Terms

1. Agreement

These Affiliate Programme Terms ("Affiliate Terms") govern your participation in the WatchTower Terminal affiliate programme (the "Programme"), operated by EliteTraders LLC ("we", "us", "our"). By applying to or participating in the Programme you agree to be bound by these Affiliate Terms, together with our Terms of Service, Privacy Policy and Disclaimer, which form part of this agreement. If you do not agree, do not participate.

2. Eligibility and enrolment

You must be at least 18 years old and legally able to enter into a binding contract. Applications are reviewed and we may accept or decline any application at our discretion, without giving reasons. Acceptance is personal to you and may not be transferred, sold or assigned. You may hold only one affiliate account; duplicate or linked accounts created to increase commissions may be closed and their commissions forfeited.

3. Commission

We pay a commission of 25% of net revenue actually collected from each qualifying customer you refer, for as long as that customer maintains a paid subscription. "Net revenue" means the amount we actually receive after any discounts, credits, refunds, chargebacks, taxes and payment-processing fees. Commission is calculated on each successful payment, including renewals, and is not payable on free accounts, trial periods, or any period for which no payment is collected.

Commission is earned only where the referral is recorded by our affiliate tracking provider and the resulting payment is received and retained by us. We reserve the right to withhold or reverse commission on any transaction that is refunded, disputed, fraudulent, or made in breach of these Affiliate Terms.

4. No self-referral

You may not use your own affiliate link, code or referral to purchase a subscription for yourself, for any account you control, or for any person or entity connected to you, including family members, employees, colleagues and businesses in which you have an interest. You may not offer, provide or arrange any rebate, cashback or other inducement funded from your commission in order to procure a subscription.

Commissions arising from self-referral or from any arrangement designed to circumvent this clause are void, may be reversed after payment, and may result in immediate termination and closure of the associated customer account.

5. Attribution and tracking

Referrals are tracked by a third-party affiliate platform using cookies and referral identifiers. Attribution is determined by that platform's records, which are the definitive record of referrals, commissions and payouts for the purposes of this agreement. Where more than one affiliate is associated with a customer, the most recent qualifying referral within the tracking window is credited.

We are not responsible for referrals that fail to track for reasons outside our reasonable control, including a customer's browser settings, ad or cookie blockers, use of a different device or browser, clearing of cookies, or a purchase made outside the tracking window. Manual attribution of untracked referrals is at our sole discretion.

6. Payment

Commissions are paid in United States dollars on NET-15 terms once your balance reaches the minimum payout threshold shown in the partner portal. Payouts are made by the methods offered in the portal and you are responsible for providing accurate payment details. We are not liable for payments sent to details you supplied incorrectly.

You participate as an independent contractor. Nothing in these Affiliate Terms creates an employment, partnership, agency or joint-venture relationship. You are solely responsible for your own taxes, filings and any levies arising from commissions you receive, and for complying with the laws of your jurisdiction. We may require tax documentation before making payment.

7. How you may promote

You may promote WatchTower Terminal through your own website, newsletter, social channels, videos or other content, using the materials we provide or your own honest description of the product. You must:

(a) clearly and conspicuously disclose your affiliate relationship wherever you post a referral link, in a way that satisfies the advertising-disclosure rules applying to you, including the guidance of the United States Federal Trade Commission where relevant;
(b) describe the product accurately, and only in terms consistent with our own published materials;
(c) make clear that you are an independent affiliate and not an employee, agent or spokesperson for EliteTraders LLC.

8. How you may not promote

You may not:

(a) state or imply any guaranteed, expected or typical profit, return, income or trading outcome from using the Platform, or present it as financial, investment or trading advice, or as a signals service;
(b) bid on our brand terms, trademarks or misspellings of them in paid search, or use our name in a display URL or ad domain;
(c) send unsolicited bulk email or messages, or promote through spam, malware, adware, cookie stuffing, forced clicks, iframes or any means that sets a referral without a genuine user action;
(d) register domains, social accounts, app names or usernames containing "WatchTower", "WatchTower Terminal" or confusingly similar terms, or present yourself as an official channel;
(e) post referral links to coupon, deal or cashback sites, or create discount codes we have not issued;
(f) promote through content that is unlawful, deceptive, obscene, harassing, or that infringes third-party rights;
(g) misrepresent the price, features, trial terms or availability of the Platform.

Because the Platform relates to financial markets, clause (a) is treated as fundamental. A breach of it may result in immediate termination and forfeiture of unpaid commission.

9. Trademarks and materials

We grant you a limited, non-exclusive, revocable, non-transferable licence to use the WatchTower Terminal name and the logos and creative we supply, solely to promote the Platform under these Affiliate Terms. You may not alter our marks, use them in a way that suggests endorsement of your own products, or continue using them after termination. All goodwill from your use accrues to us. We may require you to remove or amend any material at any time.

10. Changes to the Programme

We may change the commission rate, tracking window, payout terms or these Affiliate Terms at any time. Where we reduce the commission rate, the change applies to referrals recorded after the change takes effect; referrals recorded before it keep the rate in force at the time they were recorded, for as long as those customers remain subscribed and you remain in good standing under these Affiliate Terms. We will give reasonable notice of material changes through the partner portal or by email, and continued participation after they take effect constitutes acceptance.

We may suspend or close the Programme entirely on thirty days' notice, in which case commissions properly earned up to closure remain payable.

11. Termination

You may leave the Programme at any time by closing your affiliate account. We may suspend or terminate your participation at any time, with or without cause, and immediately and without notice where we reasonably believe you have breached these Affiliate Terms, engaged in fraud or self-referral, or acted in a way that damages our reputation or our customers.

On termination your licence to use our marks ends, you must remove referral links and our materials from your channels, and no further commission accrues. Commission properly earned before termination is paid in the ordinary cycle unless termination was for fraud, self-referral or breach of clause 8(a), in which case unpaid commission is forfeited and we may recover commission already paid on affected transactions.

12. Disclaimers and limitation of liability

The Programme is provided on an "as is" and "as available" basis. We do not warrant any level of traffic, conversion, earnings or availability of tracking. To the fullest extent permitted by law, EliteTraders LLC shall not be liable for any indirect, incidental, special, consequential or exemplary damages, or for lost profits or anticipated commissions, arising from your participation. Our total liability for any claim shall not exceed the total commission paid to you in the twelve months preceding the claim.

You agree to indemnify and hold us harmless against any claim, loss or expense arising from your promotional activity, your breach of these Affiliate Terms, or any statement you make about the Platform that we have not published ourselves.

13. Governing law

These Affiliate Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws rules, and the courts of that jurisdiction shall have exclusive jurisdiction over any dispute, subject to any mandatory rights you may have under the law of your own jurisdiction.
